Terms of Service

1. Agreement
These Terms are a binding agreement between you and NextGenTM, Inc. d/b/a LootMogul governing LootMogul, expressly covered SuperAthlete.ai experiences, enterprise deployments, APIs, developer tools, AI agents, digital and Physical AI integrations, websites and related services globally (the "Services"). By using the Services you agree to these Terms.
2. Definitions
Licensed AI Identity means an authorized AI representation of a real person's voice, likeness, knowledge or judgment. AI Voice, AI Likeness, Knowledge Base, AI Agent, AI Memory, Guardrails, Provenance, Skill Pack, Physical AI Partner Device, Synthetic Content, User Content and Output have their ordinary meanings in the context described here and on the interactive Terms page.
3. Eligibility & Accounts
You must be at least 18, legally able to contract, permitted by law to use the Services, and authorized to register any person's identity rights. We do not onboard a minor's licensed voice, likeness or biometric identity. Keep credentials confidential, maintain reasonable security and notify us of suspected unauthorized access. You are responsible for activity under your account and authorized organization users.
4. Human Rights, NIL & Publicity
Individuals retain ownership of their name, image, likeness, voice and publicity rights. Local rights are not waived. LootMogul only receives the scoped permissions stated in the applicable authorization or agreement.
5. License Scope
Permissions for voice, likeness, identity or Knowledge Base use are limited by the applicable order form, rights-holder agreement or platform authorization. LootMogul owns its platform and infrastructure; rights holders retain their protected identity rights.
6. Consent & Revocation
Consent is limited to disclosed purposes and surfaces and may be withdrawn. Revocation ends future authorization and disables the identity across active LootMogul-controlled deployments. Third-party device propagation depends on the integration. Lawfully distributed prior content and legally required retention may remain.
7. AI Disclosure
Licensed AI Identities and Synthetic Content must be identified as AI-generated where applicable. You may not remove, obscure or falsify AI or provenance labels or represent an AI identity as the live person.
8. Prohibited Uses
You may not use the Services for unlawful impersonation, scams, abusive or sexual deepfakes, election deception, harassment, discrimination, illegal content, unauthorized biometric collection, infringement, weapons, violent wrongdoing, unlawful surveillance, public-space biometric identification, malware, safety-control circumvention, unsafe physical systems, or unauthorized consequential decisions. Regulated or high-impact uses require applicable legal compliance, qualified professionals and meaningful human oversight.
9. AI Limitations
AI Output may be inaccurate, incomplete, inappropriate, non-unique or out of date. It is not the represented person's real-time judgment and is not professional advice. Review Output before relying on or sharing it. Models, providers, behavior, availability and safety controls may change.
10. Physical AI
LootMogul supplies software and licensed intelligence, not third-party hardware. Manufacturers and operators remain responsible for hardware safety, operation and regulatory compliance. LootMogul's kill switch may not automatically reach unintegrated third-party devices.
11. Health & Training
The Services are not medical advice or a guarantee of health, training or performance outcomes. Consult a qualified professional and stop activity causing pain or discomfort.
12. Commercial Terms
Fees, usage, revenue share, renewal, cancellation and refund terms are set at checkout or in the applicable agreement. You authorize selected charges, including recurring charges where chosen, and are responsible for taxes and fees. Except where law or checkout terms require otherwise, consumed usage, generated assets, AI tokens, gems and other digital items are final, have no cash value and cannot be transferred or redeemed outside the Services. Third-party or crypto payments may involve separate verification and terms; blockchain transactions may be irreversible and values and network fees may change. Contact support before a chargeback without limiting non-waivable rights.
13. Acceptable Use & IP
Respect law and third-party rights. LootMogul and licensors retain platform, software, infrastructure, trademark and documentation rights. Do not reverse engineer, extract models, bypass limits or automate access outside authorized interfaces where law permits those restrictions. Feedback may be used worldwide, perpetually and without payment.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS, NON-INFRINGEMENT OR AI OUTPUT ACCURACY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY PARTICULAR COMPLIANCE, CERTIFICATION OR SECURITY STANDARD.
15. Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOTMOGUL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOSS OF PROFITS, REVENUE, DATA, USE OR GOODWILL. TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS PAID IN THE PRIOR 12 MONTHS OR US$100, UNLESS AN APPLICABLE AGREEMENT PROVIDES OTHERWISE.
16. Indemnification
You agree to indemnify LootMogul and its personnel for claims arising from your use, breach, violation of another's rights, content you supplied, or operation of a Physical AI Partner Device, to the extent permitted by law.
17. Law & Disputes
Delaware law governs without conflict principles. Disputes are subject to binding American Arbitration Association arbitration in Wilmington, Delaware and a class-action waiver. Mandatory consumer rights remain unaffected, including EEA rights to proceed in competent local courts. This clause requires qualified counsel review for each operating jurisdiction.
18. Suspension & Termination
Access and licensed identities may be discontinued under the applicable agreement. We may immediately suspend for suspected fraud, unlawful or unsafe use, infringement, security risk, sanctions, non-payment or breach. Where appropriate, notice and appeal through support will be available. Data handling follows the Privacy Policy; IP, indemnity, disclaimer and liability provisions survive.
19. Changes
We may update these Terms by posting revised terms and changing the date above. Additional notice will be provided where required. Continued use after effectiveness constitutes acceptance where permitted by law.

21. User Content & AI Outputs
You retain User Content and grant LootMogul a limited worldwide license to process it as needed to provide, secure, support and improve the Services, comply with law and fulfill authorizations. You warrant required rights and consents. To the extent permitted by law and subject to third-party and identity rights, LootMogul assigns to you its rights in Output generated for you. Output may not be unique. Identifiable User Content is used for generalized model training only where disclosed and supported by a legal basis, permission or agreement; stricter enterprise instructions control.
22. Third-Party Services & Models
The Services rely on contracted hosting, storage, analytics, communications, payment, sign-in and AI providers. Relevant prompts, uploads, voice or likeness inputs and data may be sent to them to perform requested features. Their services may change and separate terms may apply for direct transactions. LootMogul is not responsible for third-party products outside its control.
23. Rights Complaints
Report copyright, trademark, publicity, privacy, biometric or other rights concerns with sufficient identification and contact details to trust@lootmogul.com. We may remove material, seek authorization evidence, restrict repeat infringers and process counter-notices as law requires.
24. Trade Compliance
Do not use or export the Services contrary to export-control, sanctions or anti-boycott law or provide them to prohibited persons, territories or end uses. You remain responsible for local-law compliance.
25. General Terms
These Terms, order forms and incorporated policies are the entire agreement; signed order forms control conflicts for their transaction. Assignment requires consent except that LootMogul may assign in a reorganization or transaction. Non-enforcement is not waiver; invalid terms are narrowed while the rest survive. Neither party is liable for events beyond reasonable control. Electronic notices are permitted.
